Photography & Content Services Agreement
This Photography and Content Services Agreement ("Agreement") is entered into between Bright & Gray Creative, LLC (hereinafter referred to as the "Company") and the Client.
For purposes of this Agreement, "Creative Professional" refers to the photographer or content creator assigned by Bright & Gray Creative to the Client's session or event. This may be a team member or a contracted associate selected, directed, and managed by Bright & Gray Creative. All editing, image processing, gallery delivery, and client communication will be handled by Bright & Gray Creative unless otherwise specified in writing.
Services & Scope
The Client engages Bright & Gray Creative to provide creative services as outlined in the selected package. Services may include portrait sessions, brand sessions, event coverage, content day sessions, or other mutually agreed-upon creative services.
The Company reserves the right to assign an associate creative professional to fulfill the session. Associates are trained in and adhere to Bright & Gray Creative's standards, shooting style, and client experience expectations.
Digital Photo Delivery
Final edited images will be delivered via an online gallery.
Depending on the selected package, the number of downloadable images may be limited. The Client will have the right to download, share, and print purchased images for personal use. Delivered images will be free of watermarks.
Unpurchased images may not be screenshot, copied, or distributed by anyone.
Philosophy of Editing
At Bright & Gray Creative, we believe photography should reflect who you genuinely are in this season of life.
We create flattering, authentic imagery through thoughtful posing, natural lighting, and refined editing. We do not alter body size, shape, proportions, or facial features, nor do we perform edits that misrepresent a Client's natural appearance.
Our work celebrates confidence, individuality, and genuine moments.
Editing & Retouching Scope
All sessions include standard editing consistent with Bright & Gray Creative's brand style.
Standard editing includes:
Color correction and exposure adjustments
Light skin smoothing and removal of temporary blemishes
Minor flyaway hair cleanup
Cropping and straightening
Subtle enhancements that preserve natural appearance
Advanced retouching is not included in the session fee.
Advanced retouching services are available upon request:
Standard Advanced Edits – $50 per image
Includes moderate adjustments such as wrinkle softening, under-eye line reduction, minor background cleanup, light object removal, or head swaps involving two images from the same session.
Extensive Edits – $100 per image
Includes complex retouching such as significant object or person removal, background reconstruction, major hair or clothing adjustments, composite images, or edits requiring advanced manipulation or rebuilding of image elements.
Bright & Gray Creative reserves the sole discretion to determine whether a requested edit qualifies as standard or extensive.
Requests must be made in writing within 7 days of gallery delivery. Payment must be received prior to release of retouched images.
Payment & Session Policies
Full payment of the selected service package is due prior to the session unless otherwise agreed in writing.
Payment secures the session date and confirms acceptance of this Agreement.
Session Attendance & Arrival
Sessions begin at the scheduled start time. All booking windows are calculated from the scheduled session start time, not client arrival time.
If the Client arrives more than 15 minutes past their scheduled start time, Bright & Gray Creative reserves the right to depart the location without completing the session. In this case, Bright & Gray Creative will offer the Client a 50% refund of their session fee to account for time and setup costs incurred by our team, or the option to reschedule at our discretion. No additional time will be added to account for late arrival.
If the Client notifies us that they are running late and requests to reschedule their start time, we will not extend the session beyond the originally scheduled end time.
Company Usage Rights
For photography sessions, the Client grants Bright & Gray Creative the right to use images from the session for business and promotional purposes, including but not limited to website portfolio, social media, advertising, marketing materials, competitions, and print publications.
For Content Day sessions, Bright & Gray Creative may use stills or video footage from the session for portfolio and promotional purposes only with the Client's prior written permission or active collaboration.
Images will never be used in a manner deemed inappropriate or offensive.
Clients who require privacy must request a written opt-out prior to the session.
Client’s Usage Rights
The Client may use purchased images for personal use, including printing, sharing online, and displaying in personal spaces.
Images may not be altered, filtered, re-edited, or manipulated in any way when posted publicly.
Screenshots of non-purchased images are prohibited.
The Client is responsible for ensuring that friends or family members who access the gallery adhere to these usage terms.
Commercial use of purchased photo packages is not permitted without written licensing approval from Bright & Gray Creative. This restriction does not apply to Content Day sessions, for which clients retain full usage rights as outlined in the Content Day Sessions section of this Agreement.
Cancellations & Rescheduling
All payments made to Bright & Gray Creative are non-refundable.
Clients may reschedule their session once without penalty if at least 24 hours notice is provided. Rescheduled sessions must take place within 30 days of the original session date and are subject to creative professional availability.
Rescheduled sessions may be fulfilled by the originally assigned creative professional or another creative professional associated with Bright & Gray Creative.
If a Client cancels their session:
Any retainer or payment made will be converted to a session credit.
Session credits must be used within 30 days of the original session date.
Credits are non-transferable and may be applied toward a future session with Bright & Gray Creative.
If the Client does not reschedule within 30 days, all payments are forfeited.
If the Client has only paid a deposit and chooses not to reschedule, no additional balance will be charged. However, the deposit remains non-refundable.
In cases of illness, emergency, or severe weather, Bright & Gray Creative will make reasonable efforts to reschedule within the 30-day window.
If the assigned creative professional becomes unavailable, Bright & Gray Creative reserves the right to provide another creative professional of comparable skill and style. If none is available, liability is limited to a refund of payments received.
Location Responsibility
The Client is responsible for securing the location for their session, including obtaining any required permissions, reservations, or permits.
Bright & Gray Creative is happy to provide location suggestions and guidance when requested and will do our best to recommend locations that align with the Client's aesthetic preferences, budget, and accessibility needs. However, Bright & Gray Creative cannot guarantee availability of any public or private location and is not responsible for securing or reserving locations on the Client's behalf.
If the Client has not secured a confirmed location at least 48 hours prior to the scheduled session time, Bright & Gray Creative will default the session to a public outdoor location in the Birmingham area. The Client and Bright & Gray Creative will coordinate to select an appropriate public space that meets the aesthetic and practical needs of the session.
Sessions held at default public locations are not subject to additional fees. However, the Client acknowledges that outdoor sessions are subject to weather conditions, crowd levels, and other environmental factors beyond Bright & Gray Creative's control.
Studio Rental Add-On
If the Client selects a studio rental add-on, the studio fee is non-refundable and non-transferable, regardless of cancellation or rescheduling.
Studio rental fees are paid to reserve the studio space for a specific date and time and are considered a third-party expense. If the session is canceled or rescheduled for any reason, the Client forfeits the original studio fee and is responsible for any additional studio rental costs required to secure a new date.
Bright & Gray Creative is not responsible for studio cancellation policies or third-party rental terms.
Content Session Days
Service Scope
Content Day sessions are two-hour creative sessions designed for business owners, entrepreneurs, and brands who need fresh, ready-to-post content. Each Content Day session includes:
Two finished reels (ready to post)
Raw video footage that may be repurposed into additional reels, stories, or promotional clips
Lightly edited still photos from the session
One 15-minute planning call with our Production Coordinator prior to the session
Planning Call Requirement
All Content Day clients are required to participate in a 15-minute planning call with our Production Coordinator before their session. During this call, we will discuss the content themes, messaging, reel concepts, visual style, and any brand or logo assets you'd like included. This ensures alignment and eliminates the need for revisions after production.
Reel Specifications
The two included reels are professionally finished and ready to post. Clients may request that their business logo or branding be incorporated into the reels at no additional cost.
Reels are not subject to revision rounds. Because of our planning call process, we deliver reels as finished products. If significant changes are requested after delivery, those are considered new reel creation and will be quoted separately.
Additional reels may be created from your raw footage for $200 per reel.
Raw Footage & Usage Rights
Clients receive raw video footage from their Content Day session and may use this footage to create additional reels, stories, social media clips, or promotional content without limitation.
We ask (but do not require) that you tag or collaborate with Bright & Gray Creative when posting content from your session.
Delivery Timeline
Content from Content Day sessions will be delivered within 10 business days unless otherwise noted below.
Holiday Delivery Policy
Content Day sessions booked within 10 days before or 5 days after a federal holiday require one of the following options:
Extended Turnaround: Content will be delivered within 21 business days
Expedited Delivery: Pay an expedite fee of $200 to receive content within the standard 10-business-day window
These options must be selected at the time of booking. Standard 10-day delivery is not available for sessions scheduled adjacent to federal holidays.
Rescheduling & Cancellations
Content Day sessions follow the same cancellation and rescheduling policies as all sessions offered by Bright & Gray Creative (as outlined in the "Cancellations and Rescheduling" section of this Agreement). A minimum of 24 hours notice is required to reschedule, and rescheduled sessions must take place within 30 days of the original date.
Artistic Descretion
The Client acknowledges that photography and content creation are artistic services. Image selection, editing style, and final delivery are at the sole discretion of Bright & Gray Creative.
Unedited RAW files will not be released.
Limitation of Liablity
Bright & Gray Creative shall not be held liable for:
Injury sustained during the session
Missed images due to interference by guests or venue restrictions
Delays caused by weather, traffic, or circumstances beyond reasonable control
Technical failure beyond reasonable control
In all cases, liability is limited to the amount paid under this Agreement.
Governing Law
This Agreement shall be governed by the laws of the State of Alabama, regardless of session location.
Terms of Signing
By submitting payment for a session, the Client confirms that they have read, understood, and agreed to this Agreement in full.
